This License Agreement (“License”) governs the access to and use of all websites, web applications, mobile applications, software platforms, and digital products (collectively, the “Applications”) that are developed, published, owned, or operated by SideQuest Philippines (“SideQuest,” “we,” “us,” or “our”), excluding client-owned or client-commissioned deliverables.
By accessing, downloading, installing, or using any SideQuest Application, you agree to be bound by this License.
1. Scope of License
SideQuest grants users a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use its Applications solely for lawful purposes and in accordance with this License.
This License applies to:
- SideQuest marketing websites
- SideQuest-owned web applications and platforms
- SideQuest-owned mobile applications (iOS and Android)
- Internal tools or systems made publicly accessible by SideQuest
This License does not apply to software, applications, or systems developed exclusively for clients, which are governed by separate agreements.
2. Ownership and Intellectual Property
All Applications, including but not limited to source code, object code, architecture, databases, designs, interfaces, content, trademarks, logos, and documentation, are the exclusive intellectual property of SideQuest or its licensors.
Nothing in this License transfers ownership or grants any proprietary rights to users.
3. Permitted Use
Users may access and use the Applications for:
- Personal use
- Internal business use
- Evaluation or demonstration purposes
Use must comply with applicable laws and this License
4. Prohibited Use
Users may not, directly or indirectly:
- Copy, reproduce, modify, distribute, sell, lease, sublicense, or resell the Applications;
- Reverse engineer, decompile, disassemble, or attempt to extract source code;
- Circumvent security, access controls, or usage limits;
- Use the Applications to create competing products or services;
- Use automated systems to access or scrape the Applications;
- Remove or alter proprietary notices;
- Use the Applications for unlawful, abusive, or fraudulent activities.
5. Accounts and Access (If Applicable)
Certain Applications may require user registration or authentication. Users are responsible for maintaining the confidentiality of account credentials and all activities conducted under their accounts.
SideQuest reserves the right to suspend or terminate access for violations of this License.
6. Updates and Modifications
SideQuest may update, modify, or discontinue any Application or feature at any time without prior notice. Continued use constitutes acceptance of such changes.
7. User-Submitted Content
If an Application allows submission of content, users grant SideQuest a worldwide, royalty-free, non exclusive license to use, store, display, and process such content for operational and service-related purposes.
Users represent that they have the rights necessary to submit such content.
8. Third-Party Services
Applications may integrate third-party services or platforms. SideQuest is not responsible for third-party availability, functionality, policies, or changes.
9. Termination
This License remains effective until terminated. SideQuest may suspend or terminate access immediately, with or without notice, if users violate this License or applicable laws
10. Disclaimer of Warranties
Applications are provided on an “as is” and “as available” basis. SideQuest disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.
11. Limitation of Liability
To the maximum extent permitted by law, SideQuest shall not be liable for any indirect, incidental, consequential, or special damages arising from the use or inability to use the Applications.
12. Governing Law
This License shall be governed by and construed in accordance with the laws of the Republic of the Philippines, unless otherwise required by applicable law.
13. Changes to This License
SideQuest reserves the right to modify this License at any time. Updates will be effective upon posting within the Applications or on the SideQuest website.
